Role/ Department:
Reporting into the Head of Company Secretarial, EMEA, the role is to provide core governance and company secretarial services to regulated entities in Guernsey and their respective boards and committees. The person fulfilling this role will be required to demonstrate strong governance knowledge, especially within the financial services sector, and be able to carry out all core company secretarial functions to the highest standards. The role sits within the wider EMEA Company Secretariat and the person will work with others to develop and roll out EMEA governance projects and enhancements. Excellent communication and organisational skills are required, as the role requires regular interaction with senior executives and independent non-executive directors.
The key responsibilities of the role include:

Acting as the primary point of contact for boards and committees of certain regulated entities in Guernsey, on all governance matters.

Supporting Chairs in the effective and efficient running of boards and committee meetings

Managing annual board and committee performance reviews
-
Managing and building relationships with board and committee stakeholders, including independent directors and external parties

Preparing and delivering minutes and action items to deadlines
-
Assisting in governance project work as necessary

Reviewing and enhancing departmental processes
Knowledge/Skills:
-
Qualified Governance Professional/Company Secretary is preferred
-
Knowledge of Guernsey Company Law, the GFSC Code of Corporate Governance and GFSC Licencing Rules and Regulations would be an advantage

Ability to make clear presentations to Boards and Committees

Strong minute taking skills

Effective organisational skills
Experience:
-
Previous experience within a Governance/Company Secretarial function is required
-
Board support experience, preferably with Independent Non-Executives
-
Experience of financial services and regulation
-
Experience in delivering change and driving governance best practice
-
Familiarity with Diligent Boards & Entries is an advantage
